Referral and Referral Payments Policy

SERENADA REFERRAL & REFERRAL PAYMENT POLICY

Purpose

This Referral & Referral Payment Policy explains how Serenada's referral programme operates, how referrals are attributed, how Referral Payments are calculated and paid, and the requirements that apply to Referrers and referred Subscribers.

This Policy should be read alongside Serenada's Terms of Service, Royalties & Payments Policy, Content & Community Rules, Disputes Policy and any other applicable platform policies.

Overview

Serenada's referral programme is designed to reward individuals who contribute to the growth of the Platform by introducing new paying Subscribers.

At the time of publication, eligible Referrers may receive Referral Payments for active Subscribers successfully referred to the Platform.

Referral Payments are funded from Serenada's Referral and Marketing Allocation as described in the Royalties & Payments Policy.

Referral Eligibility

To participate in the referral programme and receive Referral Payments, a Referrer must satisfy the applicable eligibility requirements.

Artist Referrers

Artists must:

  • Have uploaded a minimum of three (3) Tracks to the Platform

  • Have completed onboarding requirements

  • Have complied with Serenada's Terms and policies

Subscriber Referrers

Subscribers must:

  • Hold an active paid Subscription

  • Have completed onboarding requirements

  • Have complied with Serenada's Terms and policies

KYC and identity verification requirements apply to all Referrers.

These requirements arise at the point of payment and must be completed before Referral Payments can be released.

Free users who are not eligible Artists are not eligible to receive Referral Payments.

Referral eligibility may be suspended, restricted or removed at any time where a Referrer no longer satisfies the applicable requirements.

Genuine Artist Requirement

Artist referral eligibility is intended only for genuine creators using the Platform for legitimate music distribution, audience development and related creative activities.

Serenada may investigate Artist accounts where it reasonably suspects that an account has been created primarily or solely for the purpose of generating Referral Payments.

Where Serenada determines that an Artist account is not a genuine Artist account, Serenada may:

  • Suspend or terminate the account

  • Remove referral eligibility

  • Cancel pending Referral Payments

  • Reverse Referral Payments previously made

  • Recover Referral Payments previously paid

  • Remove uploaded content

  • Take any other action permitted under Serenada's Terms

Serenada's determination shall be made acting reasonably and in accordance with applicable policies and procedures.

Referral Links and Referral Codes

Eligible Referrers will receive a unique referral link, referral code, or both.

Referral links and referral codes:

  • Remain the property of Serenada

  • May not be sold or transferred

  • May not be altered or manipulated

  • May be replaced, suspended or withdrawn by Serenada at any time

Referrers are responsible for protecting their referral credentials and ensuring they are used in accordance with this Policy.

Qualifying Referrals

A referral qualifies when:

  • A new user registers through the Referrer's referral link or referral code

  • The user purchases a paid Subscription

  • The user successfully completes their first paid subscription month

  • The relevant subscription payment has been successfully collected

  • The subscription payment has not been refunded, reversed, charged back or otherwise invalidated

A referral does not become active until all qualification requirements have been satisfied.

Referral Attribution

Once a Qualifying Referral has been established, the referred Subscriber will be attributed to the Referrer.

Referral attribution is intended to remain attached to the Referrer for the duration of the referred Subscriber's participation on the Platform.

Serenada reserves the right to amend, remove or reassign referral attribution where necessary to:

  • Investigate fraud

  • Correct errors

  • Resolve disputes

  • Enforce platform policies

  • Comply with legal or regulatory obligations

Ongoing Referral Earnings

At the time of publication, the Referral Payment rate is £1.00 per month, or an equivalent amount determined by Serenada in the applicable currency, for each active referred Subscriber.

Serenada may amend the Referral Payment rate from time to time to reflect changes in subscription pricing, territory-specific pricing, market conditions, business requirements or platform economics.

Referral earnings begin once a Qualifying Referral becomes active.

Referral earnings continue whilst:

  • The referred Subscriber remains an active paying Subscriber

  • The Referrer remains eligible to participate in the referral programme

Referral earnings cease when:

  • The referred Subscriber cancels their Subscription

  • The referred Subscriber ceases to be an active paying Subscriber

  • The Referrer ceases to be eligible under this Policy

  • The referral is removed due to fraud, abuse or policy violations

Subscriber Referrers must maintain an active paid Subscription in order to continue earning Referral Payments.

Where a Subscriber Referrer ceases to hold an active paid Subscription, no further Referral Payments will accrue from the date that Subscription ends.

Any Referral Payments earned prior to the cessation of the Subscription will remain payable subject to the applicable payment threshold, verification requirements and payment processing cycle.

Where a Subscriber Referrer subsequently re-subscribes and again satisfies the eligibility requirements of this Policy, Referral Payments may resume in respect of eligible referred Subscribers.

Where a referred Subscriber later re-subscribes, Referral Payments may resume once an active paid Subscription has been re-established.

Referred Subscribers Becoming Referrers

A referred Subscriber may become a Referrer in their own right if they satisfy the eligibility requirements set out in this Policy.

Referral status does not prevent a Subscriber from later becoming a Referrer.

Referral Fraud and Abuse

Referrers must not engage in conduct designed to artificially generate Referral Payments.

Prohibited conduct includes:

  • Self-referrals

  • Multiple account creation

  • Fake account creation

  • Automated account creation

  • Identity manipulation

  • Payment manipulation

  • Referral farming

  • Artificial subscription activity

  • Fraudulent activity

  • Any attempt to manipulate referral outcomes

Referrers must not directly or indirectly refer themselves.

Referral Payments arising from prohibited conduct may be:

  • Withheld

  • Cancelled

  • Reversed

  • Recovered

Serenada may suspend or terminate accounts involved in fraudulent or abusive referral activity.

Payment Processing

Referral Payments are processed following the applicable reporting and reconciliation period.

Referral Payments operate on the same general processing cycle as Royalty Payments.

At launch, Referral Payments are expected to operate on an approximate three-month processing cycle following the end of the relevant reporting period.

Serenada may delay payment where necessary for:

  • Fraud prevention

  • Compliance reviews

  • Payment reconciliation

  • Chargeback review

  • Dispute resolution

  • Regulatory obligations

Payment Thresholds

The minimum payment threshold at launch is:

  • £25 GBP

  • $25 USD

The minimum payment threshold applies to Referral Payments.

Equivalent thresholds may apply in other supported currencies as determined by Serenada from time to time.

Where earnings fall below the applicable threshold, earnings will be retained and carried forward until the threshold is reached.

Serenada may amend payment thresholds from time to time.

Verification and KYC

Before receiving Referral Payments, Referrers must complete any verification requirements specified by Serenada.

These may include:

  • Identity verification

  • KYC checks

  • Tax verification

  • Compliance reviews

  • Payment account verification

Payments may be delayed, withheld or cancelled where required verification has not been completed.

Administrative Deductions

Serenada may deduct reasonable costs incurred in connection with:

  • Payment processing

  • Identity verification

  • KYC checks

  • Compliance procedures

  • Failed payments

  • Returned payments

  • Fraud investigations

  • Administrative processing

Such deductions will only be applied where applicable and permitted by law.

Withholding Rights

Serenada may withhold, freeze, delay, offset, reverse or recover Referral Payments where reasonably necessary to:

  • Investigate fraud

  • Resolve disputes

  • Correct reporting errors

  • Recover overpayments

  • Comply with legal obligations

  • Comply with regulatory obligations

  • Enforce platform policies

Changes to this Policy

Serenada may amend this Referral & Referral Payment Policy from time to time.

Continued use of the Platform following any amendment constitutes acceptance of the updated Policy.
